Terms of Service

Please read these Terms of Service carefully before utilizing our agentic commerce suite.

These Terms of Service ("Terms") govern your access to and use of the website, services, and e-commerce applications developed by Tianyi Software (collectively "Tecdao", "we", "us", or "our"), including our e-commerce operations software, OmniFuse-AI.

By installing our applications on your Shopify store, registering an account, or interacting with our Services, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or brand, you warrant that you have the authority to bind that entity to these conditions.

1. Account and Shopify Integration

To use our Services, you must install the application from the Shopify App Store or register on our website. You agree that:

  • You will provide accurate, current, and complete merchant registration details.
  • You are solely responsible for maintaining the security of your store admin credentials and authentication tokens.
  • You authorize us to read, sync, and modify store inventory, product attributes, catalog feeds, and metadata according to your tool selections.

2. Licensing and Scope of Use

Subject to these Terms, Tianyi Software grants you a limited, non-exclusive, non-transferable, revocable license to access and use our software suite on your authorized storefronts. You agree NOT to:

  • Decompile, reverse-engineer, or attempt to extract the source code of our edge computing algorithms or visual models.
  • Use our systems to publish or distribute prohibited, hazardous, or illegal inventory in violation of local custom jurisdictions.
  • Exceed API request volume thresholds or bypass platform rate limiters.

3. Agent Governance and Autonomy Guardrails

Our e-commerce applications (such as ReturnArbiter, SmartPricer, B2BNegotiateBot) leverage autonomous AI reasoning engines. To manage risk, we implement three operational modes:

  • Suggest Only: The AI proposes changes (e.g. refund approvals, pricing adjustments). You must manually accept or reject each draft.
  • Semi-Automatic: You define threshold rules (e.g., auto-approve return claims under $50; hold high-risk card checks).
  • Full Automation: The agent acts and publishes updates 24/7 autonomously on your behalf (requires explicit opt-in consent).

Merchant Responsibility: You acknowledge that you establish and configure the boundaries, price floors, risk parameters, and discount formulas. Tianyi Software is not responsible for commercial losses, inventory shortfalls, or unintended refunds resulting from your configuration rules or decisions made by the autonomous agent within your authorized guardrails.

4. Billing, Subscriptions, and Trials

Terms regarding subscription packages and payment transactions include:

  • Free Trials: We offer a 14-day free trial across all individual applications. If you do not uninstall the application before the trial ends, Shopify billing structures will trigger the recurring subscription cycle.
  • Recurring Subscriptions: Applications are billed on recurring cycles (monthly or annually) through Shopify's billing API.
  • Cancellation & Refunds: You can cancel your subscription at any time by uninstalling the application. Uninstalling halts future billing immediately. Refunds are evaluated on a case-by-case basis according to Shopify refund guidelines.

5. Intellectual Property

  • Merchant Assets: You retain complete ownership and intellectual property rights over your catalog listings, product images, brand assets, and customer details synced to our databases.
  • Service IP: Tianyi Software retains all proprietary rights, title, and interest in and to the Services, including all edge computing worker scripts, logo marks, user interface components, and AI fine-tuning parameters.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TIANYI SOFTWARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE AI-GENERATED DESCRIPTIONS OR DYNAMIC COMPETITOR PRICE AUDITS WILL RESULT IN INCREASED SALES OR INEXORABLY HIGHER REVENUE CONVERSIONS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TIANYI SOFTWARE OR ITS DIRECTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT, REVENUE, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY FOR CLAIMS ASSOCIATED WITH THE USE OF OUR SOFTWARE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC APPLICATION LICENSES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM EVENT.

8. Termination

You may terminate your agreement with us at any time by deleting your account or uninstalling our application. We reserve the right to suspend or terminate your access to the Services immediately if we detect material breaches of these Terms, security abuse, or illegal activity.

9. Governing Law

These Terms and your relationship with us shall be governed by, and construed in accordance with, the laws of the People's Republic of China, without reference to conflict of laws principles. Any legal suit or action arising out of these Terms shall be resolved in Nanjing, Jiangsu, China.

10. Updates to these Terms

We may modify these Terms from time to time. We will post the updated Terms on this website and update the "Last Updated" date. Your continued use of the applications or Services after updates are published constitutes acceptance of the new Terms.
